Acceptance, scope and eligibility

These Terms govern OYYO websites, apps and services that link to them, including OYYO ONE AI and NotzUp on supported platforms. Product-specific notices, order terms or agreements may supplement them; platform coverage here does not promise availability. The operator is HRN INNOVATION TECHNOLOGIES LTD, identifier CL13683, Level 2, Innovation One, DIFC, Dubai, United Arab Emirates. Our official corporate/product website is https://oyyo.one. By using a service subject to these Terms, you accept them. If you do not agree, do not use that service. You must be at least 16 and legally able to enter the applicable agreement; any additional local age or guardian requirements also apply. If acting for an organization, you must have authority to bind it and manage the relevant permissions.

Accounts and security

Provide accurate required account information, protect credentials and recovery methods, and use only accounts, devices and workspaces you are authorized to access. Do not share credentials contrary to applicable service rules. Organization administrators manage access within their authority.

Tell support@oyyo.one promptly about suspected unauthorized access. You remain responsible for your authorized activity and reasonable security precautions; these Terms do not make you responsible for failures that applicable law places on us.

Available, beta and paid services

Current functionality is distinguished from planned, private-development, preview or beta features. Plans, roadmaps, model tiers and benchmark intentions can change and are not a promise of delivery or a specific date. Beta functionality may be incomplete or change; use appropriate precautions.

A price announcement is not confirmation that payments are being collected. Where checkout is disabled, no paid purchase is available through that checkout. Before any enabled paid purchase, applicable pricing, billing cycle, taxes, renewal, cancellation and refund terms must be shown or agreed. Mandatory consumer rights remain unaffected.

Your content and limited permissions

You retain ownership of your content and any rights you lawfully hold in it. You must have the necessary rights and permissions to provide, process, sync or share it.

For content you explicitly select for cloud storage, sync or sharing, you grant us only the limited permission necessary to host, reproduce, transmit and technically process it to operate those selected features, including through necessary service providers. This is not permission to sell your content, use it in advertising or silently send captured content for cloud AI inference. Permission ends when no longer needed for the selected feature, subject to lawful retention, backups and copies you have shared with recipients.

Recording and capture responsibilities

Before recording calls, meetings, audio, screens or other people, obtain all legally required consent and provide required notices. Respect privacy, confidentiality, intellectual property and workplace rules, as well as platform and operating-system restrictions.

Do not use OYYO for stealth or illegal recording, to bypass recording indicators or consent requirements, or to circumvent platform/OS access restrictions. A technical ability to capture something is not legal permission to do so.

Local AI and output limitations

Where supported, recording, OCR, transcription, translation, analysis, embeddings, search and summaries are designed for local-first processing on an authorized device. Raw recordings stay local by default, with no silent cloud AI fallback for captured customer content. Selected network features and the ASK OYYO website assistant are described separately in the Privacy Policy.

AI output may be incomplete, inaccurate or misleading. Review and verify it, especially before sharing or relying on it. Outputs are not professional, legal, medical or financial advice and do not replace a qualified adviser. You are responsible for your lawful decisions and use; this does not waive obligations imposed on us by law.

Online storage, sharing and backups

When enabled and selected, online storage may use Horno Network (https://horno.net), decentralized, high-performance encrypted storage. It is a storage service, not an AI inference provider in this description. Not all local content is uploaded.

Choose recipients and access permissions carefully, keep appropriate independent backups, and respect third-party rights. Sharing can create copies controlled by recipients; revoking a link may not delete those copies. Availability and recovery depend on the selected feature and its applicable terms; this does not reduce non-waivable rights or our applicable service obligations.

Connectors and third-party services

Available connectors may include Google, Microsoft, Zoom and Slack. Authorize each connection separately with the required minimal OAuth scopes. Login is not consent to connect other provider data. We access only explicitly granted scopes; revoke access through the product where available and through the provider.

Third-party terms and privacy notices govern their services. You must be authorized to connect and use the selected content. Disconnecting stops future access but may not delete prior imports or recipient copies. We are responsible for our own obligations, not for promising control over independent provider services.

Notifications and communications

Service, security and account communications may be sent when necessary and lawful. In-app/OS notifications can include optional links or images; manage product settings and OS permissions.

Optional marketing consent is separate from account creation, connector permission and analytics consent where required. You can withdraw optional marketing without losing mandatory privacy or consumer rights. Privacy and cookie controls are explained at https://oyyo.one/privacy and https://oyyo.one/cookies.

Acceptable use

Use services lawfully and within your access rights.

• Do not carry out unlawful or stealth recording, infringe rights, harass others or distribute unlawful content.
• Do not impersonate people, misuse accounts or connectors, steal credentials or access data without authorization.
• Do not distribute malware, disrupt systems, evade security/access controls or perform abusive automated requests.
• Do not use services for fraud, illegal surveillance or activity that violates applicable law or third-party platform restrictions.
• Do not misrepresent AI output, OYYO affiliation or service capabilities. Legitimate actions protected by non-waivable law are not prohibited by these Terms.

OYYO intellectual property

OYYO service software, branding, logos and materials are owned by HRN INNOVATION TECHNOLOGIES LTD or their respective licensors. These Terms provide only the right to use the service as permitted, not ownership of our intellectual property.

Third-party names and marks belong to their owners and do not imply endorsement. Nothing here takes ownership of your content or overrides rights that applicable law does not allow us to restrict.

Changes, suspension and account deletion

We may change services or suspend/terminate access for material breaches, security risks, unlawful use or other legitimate operational reasons. We will provide notice and an opportunity to resolve issues where required and reasonably possible; urgent protective action may be necessary.

You can stop using a service and request account deletion through available product controls or support@oyyo.one. Cancellation and refunds for enabled paid services follow their disclosed terms and mandatory law. Deletion is subject to the retention rules in the Privacy Policy; local device content, organization records and recipient-controlled copies may need separate action. Access changes do not erase your statutory rights.

Warranties and disclaimers

To the extent permitted by law and subject to any expressly agreed service commitments, services and AI outputs are provided as available, without a promise of uninterrupted, error-free operation or fitness for every intended purpose. Planned features and general website descriptions are not guarantees.

Nothing excludes statutory warranties, duties, remedies or consumer protections that cannot lawfully be excluded. Use appropriate backups and verify outputs, without reducing obligations the law places on us.

Liability and mandatory protections

To the extent lawful, we are not responsible for indirect or consequential loss arising from reliance on unverified outputs, unauthorized use or independent third-party failures. Liability is assessed under applicable law and any valid service agreement.

No limitation in these Terms excludes or limits liability that cannot lawfully be limited, including applicable liability for fraud, intentional wrongdoing, personal injury or statutory consumer remedies. These Terms do not waive non-waivable privacy or consumer rights.

Governing law and courts

These Terms are governed by the laws applicable to HRN INNOVATION TECHNOLOGIES LTD at its DIFC place of establishment, with disputes submitted to the competent courts in Dubai, subject to applicable jurisdiction rules.

Mandatory local consumer laws and any right to bring proceedings in a court available under non-waivable law remain preserved. These Terms impose no arbitration or class-action waiver.

Updates and contact

We may update these Terms and will provide notice of material changes where required. The last-updated date identifies this version; changes do not retrospectively remove accrued or mandatory rights. Product-specific notices may supplement these Terms.
